These Terms of Service (the “Terms”) are a binding agreement between you and Kestra Club LLC (“Kestra Club,” “we,” “us,” or “our”), operator of this website (the “Site”). Please read them carefully. By accessing the Site or placing an order, you agree to be bound by these Terms.

1. Acceptance of terms

By accessing, browsing, or purchasing from the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Research Use Disclaimer, and Research Use Only policy, each incorporated here by reference. If you do not agree, you must not use the Site or place an order.

2. Eligibility

You must be at least 21 years of age and a qualified researcher, or an authorized representative of a research institution or business, to use the Site or purchase products. By placing an order you represent and warrant that you meet these requirements and that all information you provide is accurate and complete. We may refuse service, cancel orders, or restrict access at our discretion.

3. Research use only & prohibited uses

All products are sold strictly for laboratory and in-vitro research use only. By purchasing, you expressly agree that you will not, and will not permit any third party to, use the products:

• in or on humans or animals, for any purpose;
• for any food, drug, cosmetic, or medical-device application;
• for any diagnostic, therapeutic, or clinical purpose;
• in any manner that violates applicable federal, state, or local law.

You assume full responsibility for the safe handling, storage, use, and lawful disposal of all products, and for ensuring that anyone you allow to handle them is appropriately qualified.

4. Product information & accuracy

We work to describe our products accurately, including purity, form, and specifications published on each product page and its Certificate of Analysis. However, we do not warrant that product descriptions, images, or other content are error-free, complete, or current. In the event of a discrepancy, the specifications on the applicable Certificate of Analysis govern.

5. Pricing & availability

All prices are listed in USD and are subject to change without notice. Products are offered subject to availability, and we reserve the right to limit quantities, discontinue products, or correct pricing or typographical errors at any time, including after an order has been submitted. If we cancel an order due to such an error, we will notify you and issue a full refund.

6. Orders & payment

Your submission of an order is an offer to purchase, which we may accept or decline. An order confirmation email acknowledges receipt but does not constitute acceptance. Payment is due at the time of purchase through the payment methods offered at checkout. You represent that you are authorized to use the payment method provided. We reserve the right to refuse or cancel any order, including for suspected fraud, resale, or a violation of these Terms.

7. Shipping & risk of loss

Shipping timeframes, methods, and protections are described in our Shipping Information. Title and risk of loss pass to you upon our delivery of the products to the carrier, subject to the shipment protection described in that policy.

8. Returns & refunds

Returns, replacements, and refunds are governed by our Returns & Refunds policy, which forms part of these Terms.

9. Intellectual property

The Site and its contents — including text, graphics, logos, product photography, and the Kestra Club name and marks — are owned by or licensed to us and are protected by intellectual property laws. You may not copy, reproduce, republish, or exploit any part of the Site without our prior written consent.

10. Disclaimer of warranties

Except for any warranty expressly stated on a product’s Certificate of Analysis, the Site and all products are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free.

11. Limitation of liability

To the fullest extent permitted by law, Kestra Club LLC and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from misuse of the products. Our total aggregate liability for any claim relating to a product or order will not exceed the amount you paid for that product or order.

12. Indemnification

You agree to indemnify, defend, and hold harmless Kestra Club LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use or misuse of the products, your violation of these Terms, or your violation of any law or the rights of a third party.

13. Governing law

These Terms are governed by the laws of the United States and the state in which Kestra Club LLC is organized, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in that state for any dispute arising from these Terms, to the extent permitted by law.

14. Changes to these terms

We may update these Terms from time to time. The “Last updated” date above reflects the most recent revision. Changes take effect when posted, and your continued use of the Site after that time constitutes acceptance of the revised Terms.
